Agreement to Terms
By engaging Remote Lama ("Company," "we," "us") for any services, you ("Client," "you") agree to be bound by these Terms & Conditions. These terms constitute a legally binding agreement between you and Remote Lama. If you do not agree to these terms, do not use our services.
These terms apply to all services provided by Remote Lama, including but not limited to AI automation, web development, app development, growth marketing, and consulting engagements.
Services
Remote Lama provides AI-powered software development, automation, and growth marketing services as described in individual project proposals or statements of work ("SOW"). Each SOW will outline the specific scope, deliverables, timeline, and fees for the engagement.
We reserve the right to subcontract portions of the work to qualified professionals, provided that we remain responsible for the quality and timeliness of all deliverables. Any changes to the agreed scope must be documented in a written change order signed by both parties.
We will perform all services in a professional and workmanlike manner, consistent with industry standards. However, we do not guarantee specific business outcomes such as revenue increases, traffic targets, or conversion rates unless explicitly stated in the SOW.
Payment Terms
Payment terms are specified in each project proposal or SOW. Unless otherwise agreed, the following applies:
A non-refundable deposit of 30-50% of the total project fee is due before work begins. Remaining payments are invoiced according to the milestone schedule defined in the SOW. All invoices are due within 14 days of issuance.
Late payments incur a fee of 1.5% per month on the outstanding balance. If payment is more than 30 days overdue, we reserve the right to suspend work until the account is brought current. The Client is responsible for all costs of collection, including reasonable legal fees.
All fees are quoted in USD unless otherwise specified. Taxes, if applicable, are the responsibility of the Client.
Intellectual Property
Upon full payment for a completed project, the Client receives full ownership of all custom code, designs, and assets created specifically for the engagement, unless otherwise stated in the SOW.
Remote Lama retains ownership of all pre-existing tools, libraries, frameworks, and proprietary methodologies used in the delivery of services. Where such materials are incorporated into Client deliverables, the Client is granted a perpetual, non-exclusive, royalty-free license to use them within the delivered project.
We reserve the right to showcase the work in our portfolio and case studies, using non-confidential descriptions and visuals, unless the Client requests otherwise in writing.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This includes business strategies, technical architecture, user data, financial information, and any materials marked as confidential.
Confidentiality obligations survive the termination of the agreement for a period of two (2) years. These obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
Limitation of Liability
To the maximum extent permitted by law, Remote Lama's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, regardless of whether we were advised of the possibility of such damages.
The Client acknowledges that AI systems involve inherent uncertainties and that outputs may require human review. We are not liable for decisions made based on AI-generated outputs without appropriate human oversight.
Termination
Either party may terminate an engagement with 14 days written notice. Upon termination:
The Client is responsible for payment of all work completed up to the termination date, including any work in progress. We will deliver all completed work and materials to the Client within 10 business days of the effective termination date.
If the Client terminates without cause, the initial deposit is non-refundable. If Remote Lama terminates without cause, we will refund any prepaid fees for work not yet completed.
Sections relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.
Governing Law
These terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation between the parties.
If negotiation fails, disputes shall be resolved through binding arbitration under standard commercial arbitration rules. Each party bears its own costs of arbitration unless the arbitrator determines otherwise.
These terms constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior agreements, representations, and understandings.
